These Terms should be read alongside our Privacy Policy, Cookie Policy, AI Disclaimer, and any specific project agreement or Statement of Work agreed between us.
AI by EDM provides AI architecture and implementation services including, but not limited to:
The specific scope, deliverables, timeline, and fees for any engagement will be set out in a separate project agreement or Statement of Work. In the event of any conflict between these Terms and a project agreement, the project agreement shall prevail.
Website content: All content on this website — including text, graphics, logos, and design — is owned by AI by EDM unless otherwise stated. You may not reproduce, distribute, or use any website content without prior written permission.
Delivered AI systems: Unless otherwise agreed in writing in a project agreement, intellectual property in AI systems, code, and models developed for a client will transfer to the client upon full payment of all fees.
Pre-existing IP: Any tools, frameworks, methodologies, or code we bring to a project that existed prior to the engagement remain the property of AI by EDM. Clients receive a licence to use these within the delivered system.
Third-party models: AI systems may incorporate third-party foundation models (e.g. OpenAI GPT, Anthropic Claude). Use of these models is subject to the respective provider's terms of service, which the client is responsible for reviewing and complying with.
⚠️ Important: The following terms apply specifically to AI systems and reflect the nature of AI technology. Please read carefully.
AI output limitations: AI systems can produce incorrect, incomplete, or biased outputs. We do not warrant that any AI system will be error-free, and outputs should always be reviewed by a qualified human before being acted upon.
Human oversight: You agree to maintain appropriate human oversight of any AI system we build for you, particularly where AI outputs may affect individuals, financial decisions, medical matters, or legal matters.
No professional advice: AI systems built by us do not constitute professional legal, medical, financial, or other regulated advice. Systems designed to assist in regulated domains must be supervised by appropriately qualified professionals.
Model changes: Third-party AI model providers may update, deprecate, or modify their models at any time. We will use reasonable endeavours to notify you of significant changes that may affect your system, but we cannot be held liable for changes made by third-party providers.
Performance variability: AI system performance may vary based on input quality, data volume, and changes in underlying models. Performance estimates provided during scoping are indicative, not guaranteed.
Prohibited AI applications: You may not use any AI system we build to generate harmful content, conduct illegal activities, discriminate unlawfully, or in any manner that violates our Acceptable Use Policy.
You agree to:
Payment terms for each project will be set out in the project agreement. As a general guide:
To the maximum extent permitted by law, AI by EDM shall not be liable for:
Our total liability in connection with any project shall not exceed the total fees paid by you for that specific project in the 12 months preceding the claim.
Nothing in these Terms limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
Both parties agree to keep confidential any information disclosed during the course of a project that is identified as confidential or that a reasonable person would understand to be confidential.
This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
For projects involving particularly sensitive data, a separate Non-Disclosure Agreement (NDA) may be entered into prior to commencement.
Either party may terminate a project agreement by providing written notice as specified in that agreement. In the absence of a specific provision:
We may terminate immediately if you breach these Terms, fail to pay invoices, or use AI systems in a manner that violates applicable law or our Acceptable Use Policy.
Use of our website and any AI systems we build is subject to our Acceptable Use Policy. You agree not to use our website or services for any unlawful, harmful, or abusive purpose.
We may update these Terms from time to time. Changes will be published on this page with a revised effective date. Continued use of our website or services after changes are published constitutes acceptance of the updated Terms.
For active client engagements, material changes to Terms will be communicated directly.
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
